These Terms of Use describe the conditions for using praxisspanadvisory.com and its www address, operated by PraxisSpan Advisory LLC ("PraxisSpan," "we," "us," or "our"), a Virginia business. Please read them before using the website or our website materials. If you do not agree, do not use those materials or the website.
1. Information and professional judgment
The website provides general information about enterprise strategy, business architecture, operating models, and advisory services. Content, frameworks, examples, checklists, and educational resources are for informational purposes. They are not individualized advice or legal, tax, accounting, investment, medical, or other regulated professional advice.
Use your own judgment and consult appropriately qualified advisers before acting on a material business or professional decision. Examples, service descriptions, and typical timeframes do not guarantee particular results, savings, regulatory outcomes, or completion dates. Actual scope, timing, fees, and deliverables depend on the agreed engagement.
2. Inquiries and client engagements
An inquiry, email, introductory Alignment Call, or use of an educational resource does not by itself create a consulting, fiduciary, or other professional-client relationship. A consulting engagement begins only when PraxisSpan and the client enter into a written services agreement. That agreement governs the engagement and takes priority over these website terms if they conflict regarding contracted services.
BOOK AN ALIGNMENT CALL opens Microsoft Bookings, where you can choose an available time for a 25-minute Microsoft Teams call. A booking is confirmed when Bookings displays confirmation and sends the appointment details. Booking an Alignment Call does not submit payment or purchase advisory services.
3. Educational and downloadable materials
If PraxisSpan makes a worksheet, guide, template, checklist, Enterprise Alignment Check, or similar resource available for download or sends it in response to your request, this section applies unless the resource includes different license terms. This section does not represent that every such resource is currently available on the website.
We grant you limited, nonexclusive permission to download, print, and use those materials for your own learning and your organization's internal business evaluation. You may complete fields or adapt a template for that internal purpose where the resource is intended to be completed or adapted. Keep copyright notices and attribution on retained copies.
Without our written permission, do not resell, publicly distribute, republish, sublicense, or package the materials as your own training, consulting product, or commercial offering. Do not remove branding or imply PraxisSpan endorses your organization or conclusions. You may share a link to the original resource. A separate agreement for paid materials or client deliverables governs those materials.
An Alignment Check or other self-assessment is a discussion aid. Results depend on the information and judgment supplied and are not an audit, certification, legal-compliance finding, or substitute for an agreed diagnostic engagement.
4. Intellectual property
PraxisSpan or its licensors retain rights in the website's original text, branding, design, and protected materials. Third-party marks and materials remain their owners' property and are subject to applicable licenses. Viewing or downloading content does not transfer ownership. Nothing here restricts fair use, rights in unprotected ideas, or other uses permitted by law.
5. Lawful use and your information
Use the website lawfully. Do not introduce malicious code, attempt unauthorized access, disrupt its operation, impersonate another person, misrepresent your authority, or use the inquiry channel for unlawful or abusive communications. We may restrict access reasonably necessary to address misuse or protect the service.
Provide information you are authorized to share. Keep initial inquiries to a high-level business question; do not send patient records, employee records, credentials, or other sensitive or restricted information through this channel. An inquiry does not itself establish a nondisclosure agreement or legally privileged communication. Any separate confidentiality agreement remains effective according to its terms.
You retain rights in information you provide. Sending an inquiry permits us to use it to evaluate and respond as described in our Privacy Policy; it does not give us ownership of your materials or permission to publish them as a testimonial. Nothing here limits lawful, honest reviews or communications with government authorities.
6. Privacy and third-party services
Our Privacy Policy explains website and inquiry information handling. It is not blanket consent to unrelated processing. Email applications, hosting services, and external websites operate under their own applicable terms and policies. We do not control independent third-party content or availability. An external link provides a reference and does not imply endorsement.
7. Availability and disclaimers
We may update content or suspend access for maintenance, security, or other operational reasons. We aim to provide useful information, but content may become outdated or contain errors. The website and general educational materials are provided "as is" and "as available." To the extent permitted by applicable law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement, and do not warrant uninterrupted, error-free access or the completeness or suitability of general information for a particular situation.
These disclaimers do not replace express commitments in a signed services agreement or exclude warranties that cannot lawfully be excluded.
8. Limits of responsibility
To the extent permitted by applicable law, PraxisSpan is not liable for indirect, incidental, special, or consequential losses arising solely from use of, or inability to use, the website or its general educational materials. This provision does not govern liability for paid consulting services covered by a separate agreement.
Nothing excludes or limits liability for fraud, willful misconduct, gross negligence, or any liability or statutory right that cannot lawfully be excluded or limited. If a limitation is not permitted in your circumstances, it does not apply to that extent. These terms impose no mandatory arbitration, class-action waiver, or restriction on protected reviews.
9. Governing law and legal rights
The laws of the Commonwealth of Virginia, together with applicable United States federal law, govern these website terms, without applying conflict-of-law rules that would select another jurisdiction's laws. Mandatory protections that apply to you under other applicable law remain in effect. Nothing prevents you from exercising nonwaivable consumer or privacy rights or submitting a complaint to a regulator.
If a provision is held unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision on one occasion does not waive the ability to enforce it on another.
10. Changes and contact
We may revise these terms prospectively by posting a revised version and updating the date above. Material changes will be identified through a prominent website notice or another appropriate notice. Changes do not retroactively amend a signed services agreement. Where additional assent is required by law, posting a revision alone does not replace that requirement.
